Open ip yourself in. How to open an IP - instructions and necessary documents

Over the past two years, the procedure for registering IP has changed significantly. First of all, it influenced.

  • The tax authorities and the MFC switched to electronic interaction when registering legal entities and individual entrepreneurs, without duplicating documents on paper.

This speeded up the registration process: by applying to the MFC with an application for state registration, the applicant receives an answer in the same time as when applying to tax authority— three business days upon initial registration. When applying to the tax authorities, the response on state registration can be received by e-mail, which eliminates the need to re-visit the inspection.

  • When re-submitting documents for state registration due to an incomplete set of documents or errors in registration, you do not need to pay a state duty.
  • Informing about the upcoming registration takes place through the website of the Federal Tax Service: you can subscribe to receive information by e-mail.
  • There are new grounds for refusal of registration.

This is non-compliance with the requirements established during the execution of documents, and the submission of documents with inaccurate information ().

  • From January 1, 2019, registration of individual entrepreneurs began to be carried out free of charge, without a state fee, but on condition that the package of documents necessary for this is submitted to the registering authority in electronic form - through the website of the Federal Tax Service or the State Services portal.

Appropriate changes have been made to . State duty is not paid when submitting documents for state registration through the MFC or a notary.

Documents on state registration of individual entrepreneurs from 2020 can be received by e-mail

You can receive documents on registration of individual entrepreneurs by e-mail, regardless of how the application was submitted to the registration authority - on paper or in electronic form.

Now, when submitting documents on paper or sending them through the MFC or a notary, documents on state registration of IP will be issued by e-mail, which is indicated in the application for registration.

If a paper analogue of the documents is still required, then you have the right to apply with a request to the registration authority (at the MFC or the notary who sent the documents for registration).

Application method and list of documents for IP registration in 2020

To register as an individual entrepreneur, you need to fill out and submit to the tax office and attach a copy of your passport and a receipt for payment of state duty for 800 rubles. (if registration documents are not submitted in electronic form). You can generate a receipt on the website of the Federal Tax Service using the service "Payment of state duty". In some regions, you additionally require to attach a copy of the TIN certificate.

Yevgeny Leonov, a lawyer at Prioritet, draws attention to the fact that you can choose the most convenient way to submit documents:

  • Personal submission of documents. Nothing needs to be notarized. The applicant personally submits a package of documents to the registering tax authority (in a specially authorized for the registration of entrepreneurs). If everything is in order with the documents, then in three working days the documents will be sent to your address and by mail.
  • Submission through a representative under a notarized power of attorney. A package of documents for registration of an individual entrepreneur submits and receives confidant entrepreneur. In this case, you must contact a notary to certify a copy of all pages of the entrepreneur's passport and make a notarized power of attorney for the representative who will submit and receive documents.
  • Submission of documents through the multifunctional center providing public services(MFC). A package of documents can be submitted through the offices of the MFC, which are usually located closer than the tax registration office. Documents are provided by the tax authority at the place of permanent registration. You can pick them up in person or through representatives, it is also possible to send them by mail. It is better to clarify information about the provision of this service in a particular MFC in advance on the MFC website.
  • Electronic submission documents. If you have, then documents can be transferred to the tax authority remotely (in in electronic format). Also, documents for registration of individual entrepreneurs via electronic communication channels, after certification of the application and passport, can be sent by a notary. In this case, you do not need to pay the state duty.

So, you can send an application for registration of an individual entrepreneur through the public services portal. To do this, fill out an electronic application on the public services website, sign it and send it for consideration. IN Personal Area information will come from the tax authority on the signing and receipt of documents on registration of IP.

  • By mail with declared value and attachment description. At this method submission of documents, an application for registration of an individual entrepreneur and a copy of the passport are also subject to mandatory certification by a notary.

After the state registration of the individual entrepreneur, the registering tax office will issue to the entrepreneur a USRIP record sheet and a notification of tax registration. Additionally, a certificate of tax registration may be issued, provided that the individual entrepreneur did not receive it before registration.

From January 1, 2017, a certificate of state registration of an individual entrepreneur (OGRNIP) is no longer issued, and a tax registration certificate (TIN) is issued not on a secure tax form, but on a regular A4 sheet.

Commentary by Kristina Tokareva, Head of Business Registration at Urvista Law Firm:

To submit documents through the public services portal, you need to register on their website, and it will take certain time. You will also need to get electronic signature. In this case, you can submit documents even from a mobile phone.

There are some peculiarities in registering an individual entrepreneur through the MFC: documents can be submitted there only from the age of 21, but you still need to receive them at the tax office. The downside is that MFC employees may not be aware of the requirements for registration documents and will not be able to answer applicants' questions. The advantage of registration is that there are many MFCs and there are fewer queues than at the tax office.

They can refuse to register an individual entrepreneur if you submitted documents to the wrong tax office, submitted an incorrectly completed registration form, or apply for prohibited activities. There are, of course, unique refusals: if the individual entrepreneur has forgotten that he is already an individual entrepreneur and submits documents again, or if the court declared the applicant bankrupt.

Ilya Sergeev, lawyer at Modul. Accounting»

When choosing OKVED codes, you should pay attention not only to your current activities, but also to what you will be doing in the future. For convenience, it is best to indicate as many codes as possible, so that later, when changing the type of activity, you do not have to supplement them, otherwise you will have to submit documents to the tax office again. Check if the activity you have chosen is not subject to licensing.

The OKVED code in the application for registration must contain at least four characters. All entrepreneurs have the right to engage in any activity not prohibited by law, even if OKVED codes, corresponding to this activity, are not included in the USRIP. For failure to report on the implementation of activities, the codes for which are not included in the USRIP, a fine of 5,000 rubles is provided. Most often, errors relate to just incorrectly selected OKVEDs.

Kristina Tokareva, Head of Business Registration Department at Urvista Law Firm

The entrepreneur needs to choose the main OKVED code, from which it is planned to extract maximum profit. Additional OKVED there can be as many as you like, but it is better to limit yourself to the list of activities that you will really be engaged in. The type of activity must contain at least four digits, otherwise the tax office will refuse to register.

Remember that the tax office penalizes for filling out the form incorrectly, even for an extra space. There are certain requirements for filling out, but not everyone reads them or often misinterprets them.

Daria Sergeeva, expert of online accounting "Kontur.Elba"

When filling out an application for registration of an individual entrepreneur, you will be faced with a choice of OKVED codes for your business. They are needed so that the state knows what you are doing. At this stage, new entrepreneurs often have questions. The OKVED reference book contains non-obvious wording that is difficult to correlate with your business.

It was easier to choose OKVED codes, for free. We have made a convenient selection of codes for common activities. You find your business with a familiar name, and we offer suitable OKVEDs.

Your taxation system, the amount of taxes and the amount of reporting do not depend on the selected OKVED codes. Pay Special attention to the main OKVED code if you plan to hire workers. deducted from their salary insurance premiums. Contributions "for injuries" depend on the main OKVED code. The more “risky” it is, the higher the contribution rate will be.

What to do after registering an IP

Maria Makeeva, owner of the Fermarevo mini-farm (Novgorod region), explains the algorithm of actions after registering an individual entrepreneur. You need:

  • Choose a taxation system. Default for individual entrepreneur a general taxation system is established with the need to hand over financial statements and declarations for several types of taxes. If you want to simplify your task and start small, you will have to immediately warn the tax office about your desire to choose a simplified taxation system or one of the special regimes (USN, UTII, patent) - this is given 30 days from the date of registration of the IP. or another tax regime can be submitted immediately in a package with an application for registration or later, upon receipt of documents.
  • Order a print. You can simply sign documents, indicating separately its absence with the mark “without seal”. But if an entrepreneur orders a seal, then all documentation will have to be drawn up using it; without it, any application or contract will be invalid. If you decide to get a seal, then it is better to get it right away, so that later you do not have to redo the existing papers.
  • Open a current account. A current account is not needed if you plan to receive cash payments from customers and the total amount of transactions does not exceed 100,000 rubles. If you need to accept payments in an online store and through POS-terminals from buyers' cards or transfers from other individual entrepreneurs and legal entities, then you cannot do without a bank account.

You do not need to notify the tax office about opening a current account, credit institutions themselves will provide all the information about customer accounts. There are no penalties for late notification of invoices.

For a self-employed individual entrepreneur with small monthly turnovers, there is profitable offer about free account opening with the minimum fee for service.

  • Register cash register. A cash register is most often needed by those whose business is related to trade. But entrepreneurs need to pay attention to, which from July 1, 2019 obliges to use online cash desks when making settlements with the population of individual entrepreneurs on UTII providing services to the population, as well as individual entrepreneurs on UTII without employees, employed in retail and catering; IP on OSN and STS, which provide services to the population and issue BSO; IP on PSN with the types of activities specified in.

From July 1, 2021, online cash registers will be required to use individual entrepreneurs without employees in all tax regimes that:

  • sell goods of their own production;
  • provide services;
  • perform work.

And how to get started with them.

  • Obtain licenses and other permits. A license is required for entrepreneurs to tax, organize educational activities with hiring teaching staff, engage in private investigation and protection. The entire list of licensed activities can be viewed at.

Other activities need to be coordinated as well. So, an individual entrepreneur must get approval from the SES, the Ministry of Emergencies, environmental services and other inspectors in order to open food production, cafes or wholesale children's toys. It is necessary to deal with the issuance of permits and obtaining approvals even before the start of work in order to avoid penalties.

  • Become registered with the Pension Fund and the Social Insurance Fund as an employer. The tax office transmits information about all registered individual entrepreneurs to off-budget funds on one's own. A self-employed entrepreneur does not need to personally go there to register. All he has to do is pay his insurance premiums on time.
  • Set up bookkeeping. In order not to run into a fine, you must immediately provide for the preservation of all primary documentation, BSO maintenance, observance of cash discipline, documentary support of any transactions.

Mistakes and difficulties

Alexey Golovchenko, Managing Partner of ENSO law firm

Registering an IP is a fairly simple process. But, despite the simplicity of the process, the IFTS may refuse you the state registration procedure due to an incorrectly completed application. It is necessary to clearly follow the instructions for filling out the documents, carefully study the sample filling, in case of questions, seek advice from the tax service.

The most common mistakes when filling out an application include grammatical errors, inaccuracies, typos, violation of text formatting rules, not filling in the required fields and not indicating the TIN, if any.

Airat Akhmetov, head legal department"Business Services Center"

If you, as an individual entrepreneur, intend to carry out certain types entrepreneurial activity in the field of education, upbringing, development of minors, organization of their recreation and rehabilitation, medical support, social protection And social service in the field of youth sports, culture and art with the participation of minors, refusal to register may be associated with a conviction or criminal prosecution for certain categories of crimes.

In other cases, the refusal to register an individual entrepreneur can be appealed. It is necessary to familiarize yourself with the grounds for refusal in the document that will be issued by the tax authority, correct the mistakes made and submit the package of documents again.

It is also worth remembering the need to use codes according to (NACE Rev. 2).

Greetings, dear readers! Today we will talk about how to open an IP on your own in 2020 quickly and easily. In the article, I will give step-by-step instructions for beginners, following which you can easily register as an entrepreneur in state bodies.

Especially many questions about this case arise among those who plan to register IP for the first time. But in fact, opening an IP on your own is quite simple - the main thing is to know what to do.

I myself encountered some difficulties during the first registration, because I did not fully know all the nuances. I will tell you about all the intricacies of this procedure in this publication.

There is an even easier way to register an individual entrepreneur, calculate taxes and submit all reports using online accounting. I recommend it to everyone, I use it myself - I am very satisfied!

1. How much does it cost to open an IP?

To register as an individual entrepreneur, you will at least have to pay a state duty in the amount of 800 rub. This is a one-time amount that is paid to the state budget. The state duty is also paid upon liquidation of the IP.

If you need a current account for doing business, then on average it will cost from 500 to 2200 rubles. At the same time, it should be borne in mind that banks will also charge you a monthly fee for maintaining a current account.

Behind printing production(optional) You will need to pay from 300 to 800 rubles. Easy Print costs 2 times cheaper than automatic. When I ordered a print, it cost me 500 rubles.

However, these are all items of expenditure that you may encounter when opening an IP on your own.

In total, if you need both a current account and a seal, then you will need to pay approximately 2000 - 2500 rubles.

Advice:
I recommend officially registering an individual entrepreneur only in cases where you already have stable cash flows from the business or it is required to do business with partners. In other cases, if it is possible not to register an IP, I advise you not to rush.

2. What do you need to open an IP on your own?

In order to register as an individual entrepreneur, 4 documents are required:

  1. Statement for IP registration - form R21001;
  2. CertificateTIN. In the absence of a TIN, you need to contact the Federal Tax Service (in 7-14 days you will be able to get it);
  3. RF passport;
  4. Receipt, indicating the payment of a state fee of 800 rubles.

On the website of Internet accounting you can free of charge within 15 minutes. receive ready-made documents for registration of IP.

3. How to register an IP yourself: step by step instructions 2020 for beginners - 7 simple steps

Now we will analyze in detail the entire process of opening an IP from start to finish. In total you need to complete 7 simple steps to become an entrepreneur. Even if you are just a beginner, you will easily understand what and how to do.

STEP 1. Selection of OKVED codes (types of activity)

Before you register an individual entrepreneur, you need to select the types of activities that you plan to engage in.

For example, one of the popular activities is retail trade (code 47).

So each type of activity is assigned its own unique code. Key activities, in turn, are divided into subgroups, each of which is also assigned a special code. They will just need to be indicated in the application in the form P21001.

On July 11, 2016, new OKVED codes came into force. New list You can download OKVED 2016 codes with a detailed transcript.

In the application for registration (P21001), you can specify an unlimited number of activity codes, so feel free to indicate all those with which your entrepreneurial activity may be related.

It is worth noting that the main type of activity according to OKVED should be only one, all others are additional.

ATTENTION:
Keep in mind that activity codes must have at least 4 digits (for example, code 47.79 ).

STEP 2. The choice of taxation system for individual entrepreneurs in 2020

After you have decided on the types of activity, you need to choose the right taxation system.

This issue must be approached very carefully, since it will depend on how much and what taxes you will pay to the state budget.

There are the following 5 tax regimes:

1. BASIC - General taxation system

OSNO is the main tax regime in Russia. Compared to other taxation regimes, you will have to submit more reports and pay much more taxes:
  • Personal income tax - 13%;
  • Value added tax — 18%, 10%, 0%;
  • Income tax — 20%;
  • Property tax - up to 2%.

It makes sense to be on OSNO in 3 cases:

  • you need to work with partners and pay VAT;
  • the annual turnover of the business exceeds 80 million rubles and / or more than 100 people work for you;
  • There are income tax benefits.

2. Simplified tax system

Simplification is a very popular tax system for small businesses. Its advantage is that only a small tax is paid on income (revenue) or on profits. Accordingly, this mode has two types:

  1. The tax base - Profit(Income minus Expenses). In this case, you will need to pay 15% from profit.
  2. The tax base - Income. If you choose this type of taxation, you will have to pay only 6% , but from all the proceeds received.

Here you must decide which method of collecting taxes will be most beneficial for you. For example, I paid taxes on all income that came to my current account. It was more profitable for me, since I had practically no expenses, i.e. almost all income was my profit.

Advice:
If yours will have significant expenses in relation to profits, then it is better to choose the “Income minus expenses” tax base. If, on the contrary, the expenses are insignificant, then the best option would be to pay taxes on all proceeds..

3. Single tax on imputed income

UTII is mainly used in retail trade and rendering various services. The advantage of this regime is the payment of a flat tax, regardless of how much income you receive from entrepreneurial activity.

UTII replaces all taxes: personal income tax, VAT and property tax. this moment is 15% of imputed income.

UTII is calculated as follows:

UTII = (The tax base * tax rate) — Insurance premiums

As can be seen from the formula, insurance premiums are deducted from the amount of tax and reduce it by their amount. At the same time, please note that it is possible to reduce the single tax on all sum contributions paid for themselves and only by 50% contributions paid for hired employees.

4. Single agricultural tax

As the name of the tax already implies, it is intended to be paid by farmers who grow agricultural products.

The tax rate is only 6% . In addition, the tax is paid only on profits ( income minus expenses) received by the entrepreneur.

5. Patent taxation system

The patent system is the most unpopular tax regime in Russia (only 3% of entrepreneurs use it).

The patent system of taxation involves the purchase of a patent, which replaces all taxes. The patent is issued for a period from 1 month to 1 year. As in the case of UTII, the income (expenses) received does not affect the cost of the patent, i.e. its value is fixed.

Activities that fall under patent system taxation are not numerous: usually it is small services and retail.

The tax rate at which the cost of a patent is calculated = 6% (in exceptional cases 0%).

It is worth noting that insurance premiums are paid only in Pension Fund Russia at a reduced rate - 20% (no need to pay in FFOMS).

Important:
By registering as an individual entrepreneur, you are immediately enrolled in the general taxation system. If you plan to conduct your business on the simplified tax system (UTII), then you need to additionally fill out an application for the transition to the simplified tax system (UTII) when submitting documents for opening an IP!

Actual forms transition to the appropriate taxation system can be downloaded at.

STEP 3. Filling out an application for registration as an individual entrepreneur - form Р21001

Now that you have decided on the types of activities and the taxation system, we proceed to filling out an application for opening an individual entrepreneur.

You can download the 2020 application in the form P21001.

STEP 4.

The next step is to pay the state fee. in the amount of 800 rubles. To do this, you first need to get a receipt for payment.

Make it easy and simple on the official website tax service:

We go to the above link and select "State duty for registration of IP", as shown in the figure:

You can pay for the received receipt both via the Internet and in Sberbank (and in any other bank).

STEP 5. We make copies of the TIN and Passport + Filling out an application for the transition to the simplified tax system, UTII or ESHN (who needs it)

Having paid the state duty, it remains to take a few more small steps to obtain a certificate of registration as an individual entrepreneur.

Before you go to the tax office, you need to make copies of your passport and TIN. And also if you plan to switch to the simplified tax system, UTII or UAT, fill out the appropriate application for the transition to the selected taxation system.

The new application forms can be downloaded from the following links:

  • Form of transition to the simplified tax system
  • Form of transition to UTII
  • Form of transition to ESHN

Examples of correct filling of applications are presented below:

STEP 6. Registration in the tax office in 2020

Thus, in order to register with the tax office, you must have the following documents:

  1. Application form P21001;
  2. Original and copy of TIN;
  3. Passport and its copy;
  4. Receipt of payment of state duty;
  5. Notification for the transition to UTII, USN or ESHN (if you do not want to be on the OSNO).

When all the above documents are collected, we go to the tax authority and submit documents for registration of IP. In exchange, you will be given a receipt confirming the receipt of tax documents.

Through five daysyou will need to visit the tax office to pick up documents for registering an individual entrepreneur. You will be issued an EGRIP and a certificate of registration of an individual entrepreneur.

Congratulations! From that moment on, you officially became an entrepreneur 🙂

STEP 7. Registration with the PFR and FFOMS + Opening a current account, obtaining a seal and a cash register

FUNDS:

After successful registration with the tax office, if you plan to hire workers, you should definitely register with the Pension Fund of the Russian Federation and the FFOMS.

If you will work without employees then register with the FIU and FFOMS no need- the tax office will automatically notify all funds.

CHECKING ACCOUNT:

Opening a current account according to the law NOT NECESSARY! Open a current account if you need to conduct business with business partners (legal entities) and receive/send cashless payments.

To open a bank account, do not forget to take documents proving the opening of an individual entrepreneur.

You can register a current account in any bank - there is no big difference in choosing a bank. I recommend focusing on the monthly fee for maintaining a current account - the lower the better! When I opened a PC, I managed to find a bank with a monthly fee 500 rub.

If you have not yet chosen the bank in which you will open a current account, I recommend that you familiarize yourself with.

Note:
Since 2014 no need notify the tax, PFR and FFOMS about the opening (closing) of a current account, this will be done for you by the bank in which you opened (closed) a current account! Previously, for not notifying the indicated authorities, it was necessary to pay a fine of 5,000 rubles.

SEAL:

Without printing, as in the case of a current account, you can keep entrepreneurial activity. The only exception: if you are on UTII and you do not have cash registers, then the presence of a seal is MANDATORY!

In all other cases, your signature and records "Without printing"(or B / P) will be enough on any documents so that they have legal force.

CASH MACHINE:

Previously, according to Law No. 54-FZ, most individual entrepreneurs could not apply CCP. But the situation has changed somewhat July 1, 2018, now, in accordance with the adopted Federal Law No. 337, only a part of entrepreneurs on UTII and PSN will be able to do without a cash register.

For example, this group includes entrepreneurs who do not have employees and conduct activities that are prescribed in 6-9 subparagraphs 2 of paragraph 346.26 of the Tax Code of the Russian Federation. For more information about whether you fall under the mandatory use of cash registers, read federal law № 337.

❗️ However, even if you do not have to use a CCP, at the request of the buyer, you must provide him with a strict reporting form, receipt or sales receipt.

If you need cash machine, then it will need to be registered with the Federal Tax Service. On this occasion, you can get advice from the tax, a lawyer or an accountant.

In the process of doing business, do not forget to report to the Federal Tax Service, the Pension Fund of the Russian Federation and the FFOMS at the time. To do this, you can find a good accountant who, for a small fee, will prepare and submit the necessary reports to the appropriate authorities several times a year.

Without much difficulty, you can independently generate and submit reports via the Internet using a popular online service.

4. Advantages and disadvantages of the legal form of IP

Here we will consider what are the pros and cons of an individual entrepreneur, so that you know about all the intricacies of this organizational and legal form.

4.1 Benefits

1. Simple and easy to open/close the IP

The process of registration and liquidation of IP is quite simple. When I opened the IP for the second time, it took me only 2-3 hours to independently prepare all the documents and submit them to the tax service.

If you are going to register an IP for the first time, then you may need a little more time to open. However, in comparison with other organizational and legal forms of doing business, IP is undoubtedly the simplest.

2. Minimum reporting

By switching to the simplified tax system, UTII, UAT, you do not need to keep records of the general taxation system and submit financial statements. Instead, there are more simple shapes reporting, for example, "The book of income and expenses."

3. Low administrative fines

Most of administrative fines significantly less (up to 10 times) than the fines applied to legal entities (LLC, OJSC, CJSC). Even if you do not submit reports or pay taxes on time, penalties will be mild.

4. Profit = IP property

All the profit you receive from entrepreneurial activity automatically immediately becomes your property. Thus, you can do whatever you want with the money. For example, LLC and JSC cannot manage their profits in this way.

5. Opportunity to start a business from scratch

Compared to an LLC, you do not need to set up authorized capital to register with the tax office. In other words, you can run a business completely without investment. For starting a business, the organizational and legal form of an individual entrepreneur is, after all, best suited.

4.2 Disadvantages

1. You are liable for obligations with all your property

According to the law, individual entrepreneurs are liable with all their property for debts and obligations. This is one of the most important shortcomings in IP.

So, if you have debts and / or losses in the course of doing business, then you are obliged to fully cover them, even if you have to sell your car, real estate and other property.

Be very careful about this point. If there is a high risk of large losses from business activities, then it is better to register a limited liability company.

2. Restrictions on certain activities

Another disadvantage of IP is the restriction of the types of activities that are allowed to be carried out.

For example, an individual entrepreneur is forbidden to engage in production, retail and wholesale trade alcohol. In addition, it must be borne in mind that some activities are subject to licensing.

A complete list of prohibited activities for individual entrepreneurs can be downloaded below:

3. Payment of insurance premiums

Regardless of whether you are engaged in entrepreneurial activity or not, you must pay insurance premiums to the Pension Fund of the Russian Federation and the Federal Compulsory Medical Insurance Fund on time.

For 2020, contributions to the PFR have grown and amount to 32 448 rubles(+1% of income exceeding 300 thousand rubles). In FFOMS: 8 426 rubles. Total, at least you have to pay for the year 40 874 ruble.

However, do not forget that the amount of taxes paid can be reduced by the amount of insurance premiums.

5. Maintaining and submitting reports through the online accounting department "My Business"

IN modern time it has become simple and easy to maintain and submit all reports via the Internet, without visiting the tax, pension fund and FFOMS. This opportunity is provided by a platform popular among entrepreneurs - online accounting.

With it, you can also prepare everything without going there. Required documents And .

The service is really useful and allows you to significantly reduce all the routine work associated with accounting and devote more time to business and family.

Opportunities of Internet accounting "My business":

  • fast and simple registration IP;

6. Conclusion

As you can see for yourself, opening an IP is not particularly difficult. In a few hours, it is quite possible to prepare all the documents for registration and take them to the tax office.

By opening an IP on your own once, you will gain valuable experience that will undoubtedly come in handy in the future.

If you decide to open your own business and settled on such a form of ownership as an individual entrepreneur, then you will need instructions for action. On the one hand, you can entrust the registration process to lawyers and they can do some of the actions for you, and on the other hand, if you wish, you can do it yourself - the choice is yours, and we will describe how to register an individual entrepreneur.

Once you have decided on your business and your choice has fallen on an individual entrepreneur, not an organization, then you should determine your next steps.

On the one hand, you can save money and register everything yourself, and on the other hand, use special online services or the services of a lawyer, the latter can increase your costs by about 2-5 thousand rubles.

We will discuss the total cost estimate at the end of the article.

In fact, you have several options for your actions:

  • IP registration via the Internet - for this you can use the official tax service or carry out this operation through the Government Services website.
  • Personally submit an application to the tax office.
  • Use the services of an online service or entrust this matter to lawyers.
  • Another option is to register an individual entrepreneur through the MFC in your area.

We note right away that when registering an entrepreneur, unlike an LLC, you will need to indicate the address at your registration and submit documents to the tax office that is responsible for your area, otherwise you risk being denied registration.

Let's note a couple more nuances or, as they say, Lifehack:

  • When registering, you will need to pay a state fee in the amount of 800 rubles, but you can not pay it if you register with the employment center as unemployed. But, on the one hand, you will save money, and on the other hand, you will increase the time and add unnecessary actions when opening an entrepreneur.
  • If you do not have a TIN, then you can first submit the necessary documents to the tax office to receive it, and register with this number, but this will increase the time. However, when registering as an individual entrepreneur, you will be automatically assigned a TIN, so you will save your time.

So, we will describe how to open your own business and run it as an individual entrepreneur.

Open an IP on your own - step by step instructions 2017

Step 1. Choosing a tax system

Before answering the question of how to register an individual entrepreneur, you first need to decide on the tax system that you will apply.

The right choice can both simplify your accounting and reduce your tax costs. The optimal and rational choice of the tax system will allow you to get more profit from your business.

At the moment there are only 5 types tax systems used in Russia:

  • – a general system that is suitable for all types of activities, in fact the most difficult to manage and burdened the largest number taxes.
  • - the simplest option, which is the easiest to maintain, even without accounting services - this is - 6% is charged. It is somewhat more complicated, but if there are confirmed expenses, these are “revenues reduced by the amount of expenses”. In this case, the rate is from 5 to 15% depending on the region. However this species taxation is limited.
  • - a single tax on imputed income is also a special. a regime, the peculiarity of which is that the calculation of taxes is carried out on the basis of certain coefficients and does not depend on the profit received, but it also has limitations. This special regime is expected to be applied until 2018.
  • - refers to special modes. The activity is carried out on the basis of the acquired patent, while, as with UTII, the level of income does not affect the taxes paid.
  • - agricultural tax, which is applied by farms.

If the entrepreneur has not chosen certain special modes, then he will automatically conduct activities on the OSNO. The transition to the simplified tax system or unified agricultural tax is best done along with the submission of documents for opening an IP, this is done on the basis of an application for the transition to the simplified tax system. In addition, you have 30 days from the date of registration with the Federal Tax Service to submit this application. Otherwise, it will be possible to switch to the simplified tax system only from next year.

STEP 2. Selection of OKVED codes

Probably, you have already decided on the type of your activity, OKVED codes are used to describe it, they are mandatory and will be indicated both during registration and when reporting to the tax office.

First you need to decide on the main activity, its code will be the main one, then you should select additional codes for those activities that you will conduct in parallel or presumably in the future.

STEP 3. Filling out an application for opening an IP

The next step you will need to fill out an application form P21001, detailed instructions, disassembled on the example and the form can be downloaded from our website.

It is worth noting an important detail when applying:

  • If you submit it personally, then it is signed only in the presence of the employee of the Federal Tax Service to whom you provide the document.
  • If it is provided by a representative, then your signature will need to be certified by a notary.

STEP 4. Payment of the state fee

The next stage, before registering an individual entrepreneur in the tax office, is the payment of the state fee, which currently amounts to 800 rubles.

Payment can be made in two ways, depending on which one you prefer:

  • Pay a receipt at Sberbank or any other credit institution that makes this payment.
  • Pay on the FTS website.

STEP 5. Transition to a simplified taxation system

Once again, we note that when registering, an entrepreneur will automatically apply the general system (OSNO).

The transition to simplified taxation (STS) is carried out according to the relevant application:

  • It can also be submitted within 30 days from the date of registration. Otherwise, the transition to the simplified tax system can be carried out from next year, and the application is submitted from October 1 to December 31.
  • The transition to UTII is carried out by means of an application for organizations and for. This can be done within 5 days after the start of the activity corresponding to the taxation system.
  • The transition to the ESHN is carried out by. You can only do this once a year.
  • must be provided 10 working days before the application of this system.

Step 6. Registration with the tax office

Next, you need to provide the collected package of documents to the tax office.

Documents for opening an IP:

  1. Application for state registration as an entrepreneur (form P21001) - provided in one copy. Sewing is not required for personal submission. In 2 copies, only “sheet B” is printed, it confirms the date of submission of documents to the Federal Tax Service, so 1 copy will remain in your hands.
  2. Copy of all pages of the passport.
  3. Receipt of paid state duty (800 rubles).
  4. When switching to a simplified application, a corresponding application is attached.
  5. Copy of TIN, if given number No, it will be automatically assigned.

In the tax office to which you will submit the documents, you should clarify whether it is necessary to staple the application in the form P21001 and copies of the pages of the passport. Some tax authorities require it, others do not. In order not to make a mistake and correctly fill out the documents for registering an entrepreneur, you can use a special online service.

After accepting the package of documents, you will be assigned a date for receiving certificates. Since 2016, the registration period has been 3 business days, previously this period was 5 days. Next, you will need to obtain evidence. You do not need to carry out other actions in the tax office.

STEP 7. Receipt of documents

At the appointed time, successful opening entrepreneurship, you will receive the following documents:

  1. - proof that you are an individual entrepreneur.
  2. Extract from the USRIP on 4 sheets (extract from the unified state register of IP).
  3. Notification that you as an individual persons are registered with the tax authorities.
  4. Statistics codes from Rosstat, further required in the work.
  5. Notification of registration as a payer of insurance premiums in the FIU. With this code, you will make annual IP payments for yourself (fixed payments).

STEP 8. Registration of IP in funds

If you are going to carry out activities on your own, without involving employees, then you can skip this item, but if you have at least 1 employee, then you will need to implement it, read more about this in our article. Note that if you miss the deadlines established by law, you may be fined.

Actions after registration

Further actions are no longer mandatory and depend both on the type of your activity and on its scale. You will also need to obtain statistics codes, which can be obtained from the statistics authorities in your area.

Using a cash register (abbreviated as KKM or KKT):

  • When providing services to the public (individuals), regardless of the taxation system, you can use strict reporting forms (SRF) instead of cash register equipment. They are selected according to the OKUN classifier. The use of BSO will simplify your business and reduce unnecessary costs, however, if you make settlements with organizations, then you will not do without cash registers. At the same time, it is worth noting that the Central Bank of the Russian Federation has established certain restrictions on the circulation of cash within the framework of one agreement.
  • When working on a patent or UTII, the use of cash registers is also not necessary, while instead of a cash register check, a BSO, a receipt or a sales receipt can be issued.
  • Notaries and lawyers are allowed to work without the use of cash registers.
  • Also, on any taxation system, there is a certain list of activities in which you can not apply CCM.

Seal

Currently, organizations and individual entrepreneurs can conduct their activities without a seal. Although this is not always possible and appropriate. .

Checking account

IP accounting management

Finally, you will need to decide on the . After all, you can manage personally, invite an incoming accountant, organize an accounting staff in your office, or use the outsourcing services of specialized companies.

  • The documents were submitted to the wrong tax authority.
  • A ban on doing business was imposed on an individual and its term has not yet expired.

This list of activities is limited by the principles of safety in accordance with the legislation of the Russian Federation. You need to choose from the list for 2017-2018.

OKVED codes when opening an IP

Businessmen get acquainted with this classifier, defining their activities by area, then by group. The number of selected species is not limited, but cannot be less than one.

Some species require a license. Then you will need to contact the licensing authority, which will also indicate the OKVED code for this activity.

Selection and determination of a taxation system that is more suitable for your case.

What form of taxation to choose?

Exists 5 (five) types of taxation, each of which corresponds to the regime.

1). General ( DOS) the view is assigned by default if no mode selection is made. If an entrepreneur (businessman) may consider such a regime unprofitable, undesirable, he must early when applying for an individual entrepreneur, attach an application indicating the selected type of taxation.

The application is written in the form: "On the transition to another taxation system".

The concept of OSN includes taxes:

  • 20% on profit or 13% personal income tax;
  • 18 percent(VAT) from sales and services rendered;
  • Property tax;

If a businessman fails to pay taxes, his enterprise will be in danger of bankruptcy, as debts will accumulate.

2). UTII, that is - a single tax on imputed income, implies a specific amount of tax to be levied, in the so-called fixed form. UTII is not related to the profit of the enterprise. It is calculated from business parameters, such as the number of employees employed, the area of premises for trade, the number of transport units.

But if the IP includes more than 100 (one hundred) Human, this tax cannot be selected.

Additional opportunity provided to the company with tax UTII: before 50 % reduction of insurance premiums for those registered in IP and 100 % their reduction by the owner of the enterprise.

Similar cases are considered arbitration courts and as soon as such a decision appears, the registration of an enterprise canceled . The same procedure applies to non-payment of taxes and insurance premiums.

For more details and details, read the article.

In fact, bankruptcy occurs through 3 (three months after the day when it was required to pay the obligations in case of non-payment.

The second condition of bankruptcy - the amount of debt exceeded the size of the property of the entrepreneur in monetary terms.

An application must be filed to declare a businessman bankrupt.

Which ones you need to go through, we described in a separate issue.

Who files a bankruptcy petition?

  1. The entrepreneur himself.
  2. Creditor.
  3. by the relevant competent authorities.

We wrote about how to submit and fill out an application for, in a special article.

In the first case, the court may postpone the consideration for month, during which the entrepreneur is given the opportunity to pay off his debt to creditors. When paying off the debt of the IP, a settlement agreement can be drawn up.

10. Lending to an individual enterprise 💳

At present, it is quite realistic to receive assistance for an individual enterprise from a bank in the form of a loan. Loans for business development are offered, loans by type "express" and other varieties.

Again, not for the first time, the entrepreneur is required to collect documents for obtaining a loan, fulfill the following conditions.

  • First, the enterprise must be registered.
  • The next requirement is age. from 23 years to 58.
  • It is necessary to have guarantors and property that the entrepreneur can provide as collateral.
  • The enterprise must exist for a year before applying to the bank.

But due to the fact that each bank has its own requirements, especially in the form of interest rates, entrepreneurs are forced to collect documents for several banks and submit them to them almost simultaneously.

The bank considers applications from a couple of days to several weeks. The result is not known in advance. A guarantor who has property for collateral is not so easy to find. And if the bank offers a very small amount corresponding to the collateral, then the entrepreneur may lose interest in the loan altogether, since it will not make sense.

special attention must be paid at the interest rate offered by the bank. If the interest payment ends up being excessive or unsustainable, a risk assessment needs to be done in advance.

It is often easier to arrange at the bank, using the money immediately for the needs of the enterprise or for its increase.

From an individual entrepreneur, a desire to cooperate with institutions that provide loans is required. To delve a little more into the proposed conditions, to reject the most stringent ones, this does not mean completely abandoning the loan and stopping the development of the enterprise. You should try to reach a decision that is satisfactory for both parties.

11. Conclusion + related video 🎥

The article considered the concept of an individual entrepreneur who is engaged in legal activities: economic, scientific, trading or another in order to receive income from it, having previously registered a business in the status of an individual entrepreneur. According to the results of registering a business as an individual entrepreneur, he is assigned responsibility and obligations.

An individual entrepreneur can take, use his property in the enterprise. After paying all taxes, an individual entrepreneur disposes of profits.

An individual entrepreneur may terminate its activities or this may be done by the court that issued the appropriate decision on bankruptcy, on breaking laws .

The main issue was the rules for registering an enterprise in order to legitimize its activities. It should be added that at the same time the businessman will be registered in: pension fund of Russia and in Fonda social insurance . This will be done automatically, without any action on his part, about which a notification will be sent by mail.

The features of registering an individual entrepreneur in 2020 and the necessary documents and actions that will need to be carried out in order to register their entrepreneurial activities were also considered.

The most important question is choice of tax payment system. In conclusion, we can say: the discovery own enterprise, according to the type of IP, requires great independence in decision-making.

It also requires a responsible attitude to the consequences of mistakes, which would be best avoided using the above recommendations.

The term for registering an individual entrepreneur is not so long, usually IP opening does not exceed a month. The outlined steps should help to clearly prepare for all situations that can no longer be called unforeseen.

One day, friends asked me to help them with the registration of IP. After reading the Law, breaking a decent bunch of sites, I prepared the necessary set of documents (as it seemed to me then) and we went to the tax office to file. Already leaving the tax office, we heard the indignation of a man who was denied registration.

He was indignant, because when accepting documents for registration, the inspector did not check them for possible errors. To the man's arguments, the inspector replied that he was not obliged to check for errors and his task was only to accept the documents that were brought to him, no more, no less.

A whole week waiting to receive finished documents, I was tormented by doubts - did I fill out everything correctly and did I attach all the documents. And my bad expectations came true - we were refused. I don't remember the exact reason for the rejection. I had to prepare a package of documents again, pay the state duty again and wait another week. The second time was successful! For me, but a friend's deal fell through due to the first refusal to register.

In a word, after reading this article, you will be able to “qualitatively” register an IP on your own and without anyone's help. At the end of the article, we will discuss the "pitfalls" or, which you need to pay special attention to, and this will allow you to avoid registration refusal or other troubles.

Do you want to know what form of business to choose? Read the article “What to choose IP or LLC? Differences and comparison".

Looking ahead, you can give answers to some of the most popular questions regarding IP registration:

How much does it cost to open (register) an IP?

Your costs associated with the registration of IP will consist of the following payments:

  • State duty - 800 rubles;
  • Printing - 300 rubles (maximum 500 rubles);
  • Opening a current account - from 1000 rubles;
  • Purchase and registration of a cash register (optional) - from 15,000 rubles.

How long does it take to register an IP?

  • Collection of documents and filling out the Application for registration of IP - 1 day;
  • Registration of an individual entrepreneur in the tax office - 3 days.
  • If you do not have a TIN, then registering an IP will take 10 days (read about this below).

So, everything is in order.

Individual entrepreneur (IP), who or what is it?

An individual entrepreneur, IP is an individual who is registered as an entrepreneur, but without forming a legal entity and at the same time, having all the rights inherent in a legal entity. Advantages of IP over legal entity(for example, LLC):

  • Individual entrepreneurs do not need to have a legal address;
  • Individual entrepreneurs do not need to have an authorized capital;
  • IP freely uses the proceeds, i.e. All cash received from the implementation of their entrepreneurial activities.

Where does IP registration take place or where to register IP?

State registration of IP carried out by the tax office. Register IP You can only in your territorial office of the tax service, i.e. only in the branch to which your address of residence (address of permanent registration) belongs. For example, you are registered in the Moscow region, but you want to register an individual entrepreneur in Moscow, this will not work out. You can also register an individual entrepreneur by temporary registration, but (important) only if there is no mark in the passport that there is a permanent registration.

It should also be noted that it is possible to conduct business activities throughout the territory of the Russian Federation, regardless of the place of registration of the IP.

Register an individual entrepreneur in Moscow you can only in 46 tax (FTS No. 46) at the address: Camping passage, household 3, building 2. .

If you are from another region, then you can find out the address of your tax office on the FIAS website.

All information related to individual entrepreneurs is contained in the Unified state register individual entrepreneurs (EGRIP). Some of the information is public and anyone can request it.

Do I need a TIN to register an individual entrepreneur?

To register you as an individual entrepreneur, you must indicate your TIN in the Application for registration of an IP. If you do not have it, then an Application for obtaining a TIN must be added to the package of documents for registering an IP.

In this case, the "tax" will first carry out the procedure for registering you and assigning a TIN, and then take up the registration of "your" IP. The IP registration period will increase by 5 days (the time required to assign you a TIN).

Choice of codes of economic activity of IP (OKVED for IP). Step 1.

When filling out an Application for IP registration You will need to list the types economic activity that you will be dealing with. All types of economic activity are divided into categories and subcategories. They are contained in All-Russian classifier types of economic activity (Service for selecting OKVED codes with the ability to send them by e-mail). Each type of activity has its own specific code (XX.XX.XX). When filling out the Registration Application, you must indicate this code and its meaning.

It is advisable to select and indicate as many codes as possible, but not more than 20. In practice, for unknown reasons, for some reason there are problems with registration if more than 20 codes are indicated in the Application. After registration, you have the opportunity to add or exclude some codes, but for this you need to submit an Application for Amendments to the USRIP.

The types of economic activity have concepts: basic And additional. There can be only one main code and it is indicated first in the Application for IP registration. There can be any number of additional codes.

To select the OKVED codes that suit you, we suggest using the Collection of OKVED types for small and medium-sized businesses (you can also download it there), which is divided into the most popular areas of activity.

Important! There is a certain list of OKVED codes, which requires, when registering an IP, to provide also certificates of non-conviction (no criminal record).

We fill out the Application for registration of IP. Step 2

Next, we need to fill out the State Registration Application individual as an individual entrepreneur (IP). It is advisable to fill it out on a computer, but you can also manually. But you cannot add anything by hand on the finished printed Application.

You can download an already completed sample of the Application for registration of IP and enter your data into it. After that, print and stitch, and on the back of the last page stick a “piece of paper” with the inscription "Stitched and numbered ____ pages", indicate your name and sign.

Attention! This sample Application for registration in the form P21001 from 04/07/2013 will not be valid. From this date, new application forms are being introduced. I recommend that you contact the Registration and Business Support Center for professional assistance in registering an LLC.

Example of "Paper on the back of the last sheet"

Do not forget sign the Application in places where "Applicant" is indicated. If you personally submit the Application to the tax office, then you do not need to certify your signature with a notary.

Application for the transition to the simplified tax system for individual entrepreneurs. Step 3

The main share of individual entrepreneurs from the taxation regimes proposed by our state choose Simplified system (USN). The USN provides many benefits. You can find more information about taxation regimes on the page dedicated to the taxation system.

We dare to assume that you will also choose "simplified". If you decide to use the Basic Taxation Regime (DST), then there is no need to fill out an Application for the transition to the simplified tax system, and you can skip this step.

Application for the transition to USN can be submitted simultaneously with the submission of the Application for registration or within 5 days after receiving the Certificate of registration of IP.

The simplified system offers two options for calculating the single tax:

  • 6% of income;
  • 15% of income minus expenses.

The first option is suitable for individual entrepreneurs whose activities do not involve serious expenses, such as the provision of any services. The second option is chosen by those who incur serious costs to extract future income (trade, production).

So, fill out the Application for the transition to the simplified tax system. You can download a completed sample Application for the transition of non-USN for individual entrepreneurs and replace the data highlighted in red.

In the column “Selected as an object of taxation”, put the number “1” if you choose the mode - 6% of income and the number “2” if - 15% of income minus expenses.

The application for the transition to the simplified tax system must be printed and submitted in 3 copies, both sign. When submitting documents for registration of an individual entrepreneur, an employee of the Federal Tax Service is obliged to return one copy of the Application with a mark of acceptance. After registration, you still need to receive Information mail on acceptance of your Application for the transition to the simplified tax system. Read about it below.

State duty (state duty) for registration of IP. Step 4

For registration of an individual entrepreneur, it is necessary to pay a state duty in the amount of 800 rubles.

You can pay the fee in two ways:

  • through a bank
  • through the terminal in the "tax".

Paying the state duty through the terminal is much easier and faster, but you will need to pay a commission of 50 rubles for this.

If you nevertheless decide to make a payment through a bank, then download the Receipt for paying the state duty for registering an individual entrepreneur, enter your data into it and run to Sberbank (there is no commission). The receipt is suitable only for Moscow.

The receipt must be attached to the set of ready documents.

Important point! If, for any reason, you are denied registration of an individual entrepreneur, then it is not possible to return the paid state duty or set it off upon re-registration.

Registration of an individual entrepreneur in the tax office, submission of documents. Step 5

All documents for registration of IP prepared, printed, stitched (where more than one sheet) and signed! Now you need to submit them to the "tax". Where exactly (for Moscow - IFTS No. 46) is written above. In the 46th "tax" registration of individual entrepreneurs takes place in the hall number 3. Our state is modern, and therefore the queue at the tax office is electronic, i.e. You need to take a ticket at the terminal and wait for your turn.

So in your set of documents for registration of IP must be:

  • Application for state registration of IP- 1 PC.;
  • Copy of the passport(on one page: a spread of the first page and a page with a registration) - 1 pc.;
  • Copy of TIN Certificate- 1 PC.;
  • Application for the transition to USN- 3 pcs.;
  • Receipt for payment of state duty- 1 PC.

Important! Do not forget to take your passport and the original TIN Certificate.

The inspector of the Federal Tax Service, after checking your set of documents, must issue you Receipt for receipt of documents. The receipt, in addition to the list of documents received from you, contains the date when you can pick up the finished documents. If you miss this date, the "tax" will send them to you by mail.

If you also submitted an Application for the transition to the simplified tax system, then the inspector must mark the second copy and return it to you.

We pick up the finished documents. Step 6

According to the law IP registration period is 5 days. Documents should be picked up on the appointed date with the provision of a Receipt. As in the case of submitting documents, we take a coupon for receipt and wait for our turn (this is for Moscow).

The set of ready-made documents on registration of IP includes:

  • IP registration certificate;
  • Notice of registration with the Federal Tax Service;
  • Extract from USRIP.

Everything - you are an individual entrepreneur! There is just one more thing to do...

What to do after registering an IP. Step 7

To complete the process IP registration it is necessary to receive an Information letter from the State Statistics Service, a Notice of registration with the Pension Fund, make a seal, open a current account, buy and register a cash register.

Information letter from the State Statistics

Currently Rosstat ( Territorial authority Federal State Statistics Service for Moscow) does not provide Information Letters.

You can independently print out the Notice in the form approved by the Federal State Statistics Service (Rosstat) on May 28, 2012.

Registration with the Pension Fund

When registering an individual entrepreneur, the tax office itself sends data about you to the Pension Fund. However, you still need to visit it in order to pick up the Notice of Registration with the FIU, in which you will find your registration number. You need to have with you: a copy of the TIN, a copy of your passport, a copy of the Registration Certificate, a copy of an extract from the USRIP, an insurance certificate of compulsory pension insurance (green laminated card). You will also be given samples of receipts and the amount of contributions that you will need to transfer to the FIU.

Make a print

An individual entrepreneur is not required to have his seal. However, its presence is welcomed by both banks and business partners. The print of the seal on the contract looks more solid than just a signature. The cost of making a print varies from 300 to 700 rubles. For the manufacture of a seal, they are usually asked to provide: full name, city and PSRN.

Open a bank account

An individual entrepreneur is not required to open a bank account. He may well conduct his activities without him. Open a current account only if necessary, because the bank takes money for this service (from 1,000 rubles) and, moreover, you will have to pay a commission to the bank every month (about 1,000 rubles).

To open a current account, the following documents must be submitted to the bank: Certificate of registration of individual entrepreneur, Certificate of TIN, Information letter from the State Statistics, passport.

Currently, you do not need to notify the Federal Tax Service about opening an account !!!

Cash machine

Whether or not an IP cash register is needed depends on its field of activity. An individual entrepreneur can accept money from his clients in different ways: in cash, by transfer to a current account. If your activity involves accepting money from customers in cash, then you need to have a cash register. Only those individual entrepreneurs who provide clients with the services listed in the All-Russian Classifier of Services to the Population (OKUN) can work without a cash register. In this case, instead of a cash receipt, a Strict Reporting Form (SRF) is used.

It is not enough just to purchase a cash register, it must be registered with the tax office (registered).

Features of IP registration - be careful!

The process of registering an individual entrepreneur may well end denial of state registration. You can get a waiver by different reasons: the documents are not correctly executed, the applicant's signatures are not signed everywhere, or not all documents are provided (we are all people and we all make mistakes). As a result of the refusal to register, you will lose only the paid state duty, but also your precious time, which, in the end, may frustrate certain plans (for example, signing an agreement with a client).

Also at self-training documents for registration, special attention should be paid to indicating all the information that may further affect your work. For example, during registration, you did not indicate any OKVED code that you may need in your future business, or you will not immediately apply for the transition to the simplified tax system upon registration. In either case, you will be forced to spend some more time to solve these problems.

And this is not a complete list of possible troubles and financial losses that can be avoided if you immediately use the services of specialists. Specialized law firms register you as an individual entrepreneur in full compliance with the law and taking into account all the features.

For example, the Center for Registration and Support of Business, which, by the way, is located next to the only registered IP in Moscow tax office, in just 5 working days will register you as an individual entrepreneur for only 3000 rubles with payment after the fact.
