Story

2016-2017

In 2016-2017, FGC UES completed several major projects for the implementation of FOCL: in the Far East - on the sections of the power transmission line from the Nizhny Kuranakh substation to Maya and Olekminsk (890 km), in the South - from the Rostov NPP to the substation " Tikhoretskaya" (340 km). FOCLs were also introduced on the Urengoy-Mangazeya lines (305 km) in Western Siberia, "Kostroma - Kirov" (350 km) in the Center and the Volga region, "Nalchik - Vladikavkaz-2" (210 km) in the North Caucasus.

First, let's figure out what kind of company FSK is and what it does? Let's look at the history of the company.
The decision to establish the Federal Grid Company was taken by the Government of Russia in the summer of 2001 as part of the reform of the electric power industry. The Federal Grid Company was established as an organization for the management of the Unified National Electric Grid (UNEG). State registration The company took place on June 25, 2002. OAO RAO "UES of Russia", which acted as the sole founder, transferred to the authorized capital of the Company a backbone electric grid complex related to the UNEG.
At the same time, as part of the reform of the electric power industry, the process of consolidating the power grid facilities belonging to the UNEG under the control of the Federal Grid Company took place. In 2007, on the basis of the reorganized AO-energos (subsidiaries and affiliates of OAO RAO UES of Russia), 56 backbone grid companies (MTCs) were established. MSK shares owned by OAO RAO "UES of Russia" were transferred as payment for the additional issue of shares of the Federal Grid Company. On July 1, 2008 RAO UES of Russia and 54 MSKs were merged into the Federal Grid Company. Another 2 MSCs (JSC Tomsk Trunk Grids and JSC Kuban Trunk Grids) remained its subsidiaries. As a result, more than 470,000 former shareholders of OAO RAO UES of Russia and MSK became shareholders of the Federal Grid Company.
Today, the Federal Grid Company is a unique infrastructure that forms the physical framework of the state's economy. FGC is responsible for 139,000 km of high-voltage transmission lines and 924 substations with a total capacity of more than 332,000 MVA. The company provides reliable energy supply to consumers in 77 regions of Russia, serving an area of about 15.1 million km2. Electricity transmitted through the networks of PJSC FGC UES covers about half of the total energy consumption of the entire country. It is part of PJSC Rosseti, the largest energy holding in the country, which owns 80.13% of the company's shares.
There is no FGC only in the Far East.
Next, first of all, I want to consider the main (possible) drivers for the revaluation of the company's shares:
1-Dividends
Decree of the Government of the Russian Federation of May 29, 2017 N 1094, which reads (the amount allocated for the payment of dividends is at least 50 percent net profit joint-stock company, determined according to the data financial reporting, including the consolidated one compiled in accordance with international standards financial statements, with the amendment specified in subparagraph "a" of paragraph 1 of this order, the amount is calculated taking into account the exclusion from the amount of net profit used to calculate dividends: income and expenses associated with the revaluation of shares of subsidiaries traded on the securities market and the tax related to them at a profit; share of net profit allocated to provide financial support for development plans of subsidiaries related to ensuring their financial stability and development, approved by the board of directors of the public joint-stock company Russian Grids; actual investments made from the net profit received from regulated activities as part of the implementation of investment programs approved by the Ministry of Energy of Russia in the prescribed manner; the share of net profit received from activities for technological connection to electric networks (including interest income for the installment payment for technological connection in accordance with the Decree of the Government of the Russian Federation of November 30, 2016 N 1265 "On the procedure for establishing payment for technological connection of newly introduced operation of electric power generation facilities nuclear power plants and hydroelectric power plants (including pumped-storage power plants) to the facilities of the unified national (all-Russian) electric grid”), with the exception of actually received Money in the reporting period.
We all remember how, at the end of 2016, everyone was expecting divs of 0.025 rubles per share, but in the end they received much less, namely 0.0154. The management adjusted the PE for depreciation and profit from technical connection.
2-Deleverage.
The company has a net debt of 297,353 million rubles. In principle, this is not so much. If you look at the NetDebt/Ebitda ltm multiplier, it is 1.5. cash flow to reduce debt (the upside would be 150% of the current ones, with an MCap of 210,000 million rubles), but the company has large capex until 2020, so we will not play this option in the short term.
Everyone knows about the government decree on the sale of non-professional assets by state-owned companies. FGC, as everyone already knows, has a stake in IRAO equal to 66,692 million rubles today. Let's dream up if FGC sells this stake. What can this give us. Well, firstly, this is an increase in the state of emergency almost twice, respectively. And the growth of divas. FGC shares would immediately be revalued by 70-90% at least. Also, part of this money could be used to pay off the debt, which investors would also appreciate. But no news about these plans has been heard yet. Why? Perhaps for FGC this is not such a non-professional asset, all the same, one industry. Maybe the company's management is waiting for the IRAO quotes even higher, we don't know.
3-The company is undervalued by the market
Consider multipliers
NetDebt/Ebitda LTM=1.5
EV/Ebitda=2.5
P/B=0.3
P/Eltm=4
Does it remind me of anything?) It reminds me of Gazprom in some way. FSK also has large capex and FSK is very cheap.
Let's remember who the main shareholder of FGC-Cherez Rosseti is our beloved state. And it seems to me that here, as with Gazprom, you should not expect that the management will share all the profits with minors. They will most likely hide part of the profits in all sorts of different ways.
RESULTS
If you are a passive investor and you have long-term money, then you can afford to have part of your capital bring you 10% per annum for 2-3 years. Now, in principle, there is a unique opportunity to buy FGC shares cheaply. After all, this investment is essentially with a certain option for growth. If you calculate roughly, then taking into account dividends, this investment will bring you from 100-150% within 3 years, this is 30-50% per annum so-and-so.
P.S. I don’t have FSK in my portfolio, because I think that it will still be possible to jump on this train, even if not on the first carriage.
Next time I will analyze the IDGC of the CPU.
