IN Lately publications regularly appear in the media in which the co-owner of a number Russian companies Vyacheslav Rudnikov claims that former business partners are taking away his business. In particular, accusations are pouring in against the ex-president of the R-Style IT holding, Vasily Vasin. "Business thief" who "uses unlawful decisions of Russian courts" - this is how Rudnikov characterizes Vasin in the press. The businessman, who had previously kept silence, could not refuse to answer such statements. In an exclusive interview with NG journalist Andrei Korotkov, he spoke about the causes of the conflict and how once very successful joint business projects are falling apart because of Rudnikov's actions.

- Vasily Ivanovich, you and Vyacheslav Rudnikov led joint activities since the early 90s. Why now, after so many years, such a sharp conflict flared up?

- There is only one reason - over time, Rudnikov lost the ability to negotiate with anyone at all, including me. He previously put his “I” above all else, emphasizing his genius and creativity, but now we can state the fact that he simply does not hear reasonable arguments. Instead, he prefers to accuse former partners of imaginary greed, and the courts, in which he loses almost all lawsuits, of corruption.

He started doing this about 10 years ago. I assume that the character of Slava was influenced by the passion for other projects not related to the main business of the holding, as well as ambitions in politics. At the same time, people appeared in our office with murky business projects that led to the loss of money, quasi-patriots with nationalist ideas, which resulted in the creation of the Cause of the Nation party, the Russian Foundation and other projects. Whatever the reasons, but in fact Rudnikov was engaged only in his own projects, not participating in other businesses at all. At the same time, in financial matters, he behaved like a dictator - as if he were the sole shareholder. Slava believed, and it slipped through him regularly, that "all this is mine, and I brought you and keep you as assistants, operational managers and other advisers ... I have the right to use the company's resources at any time." Over the years, especially after the failure with the Bryansk governorship, he became less and less capable of dialogue. Now the fruits of this long-term trend have simply become clearly visible.

Can we say that the conflict has become personal?

- Unfortunately yes. I would say that it is already not only business, but also interpersonal. For a long time I did not consider it possible to publish any nuances related to commercial activities, make our business disputes public. But statements that offend my honor and business reputation, have become the last straw - I do not want to be silent anymore.

– Although Rudnikov himself has recently been actively portrayed through the media as a victim of his gullibility towards former business partners. How would you comment on this?

“To say that he is a victim is simply ridiculous. In all controversial situations he is the striker and the rest associated with him business relations shareholders become hostages of its inflexibility and often unpredictability.

Let me explain that we had several joint business projects in various areas. And almost all companies have four main shareholders who owned blocks of shares to varying degrees - Rudnikov, Rilvan Bamgbala, Yuri Otrashevsky and myself. Strange, to put it mildly, Rudnikov's views on how a partnership should be built have led to the fact that now the Arbitration Court is overwhelmed with cases of several of our companies at once, such as Feticor, KS-Trust, Actor, R-Style . Most of them relate to the issue of a fair division of business. But just in this matter, Vyacheslav does not want to listen to others and make reasonable compromises. Therefore, in my opinion, the definition of “litigious entrepreneur” now best suits him, which is incompatible with normal business ethics. It turns out that he does not work himself, and does not give to others, dragging out lawsuits and blocking the activities of his own organizations - ruining what has been created over the years.

What is he striving for?

- The maximum benefit for yourself, and ideally - so that you don’t have to share it with anyone at all. For example, now he is trying to bankrupt Feticor LLC - and this is after a lengthy lawsuit, which, it would seem, put everything in its place. The bottom line is that the shareholders - me and Rilvan Bamgbala - at one time decided to leave this company. According to Russian law, the usual procedure is that those who leave are paid the value of their shares. But Rudnikov, as the only remaining shareholder, did not want to pay, which is why we had to defend our rights in court more than once. After we nevertheless sued what was due, Rudnikov filed for bankruptcy of the company, saying that it owed him a lot. What will happen next is easy to predict: they will appoint a bankruptcy trustee and sell the company's property. For Rudnikov, this means profit from the sale of property and savings on payments to former partners. And for other shareholders, however, as well as for the entire business community, this will be a signal that it is impossible to deal with Rudnikov, since he neglects any partnership agreements. It is no coincidence that now he is a defendant in a criminal case under the article “Attempted fraud on an especially large scale” and is currently under house arrest.

What is the reason for Rudnikov's accusation of fraud?

- He is accused of illegally withdrawing assets from the KS-Trust company. And this is more than 20 thousand square meters of office space in Moscow and the regions. The dispute in her relation between Rudnikov and Bamgbala has been going on for a very long time. The fact is that initially Vyacheslav's share in this business was 48%, and 24% belonged to Bamgbala, 13% to Otrashevsky and 15% to me. By the way, I did not receive any compensation for them, although, according to our agreement with him, I transferred these shares to him.

Currently, 76% of the assets of KS-Trust belong to Rudnikov, which has documentary evidence, the remaining 24% belongs to Bamgbale. Rudnikov believes that this is all his, and does not go to the division of property with Bamgbala, accusing him of raider attacks and thus delaying the process. To denigrate your former partner, to come up with a reason why you don’t need to give money away - this is the style of the “entrepreneur” Rudnikov.

- You said that you still have not received compensation from the sale of the KS-Trust stake. That is, it turns out, suffered direct financial losses. Is this the only such case in your relationship with Rudnikov?

- No. For example, last year the Polish holding Asseco was sold to the developer of banking software R-Style Softlab. According to my information, Rudnikov received about $40 million from Asseco, but he refused to give me my share. Although it should be a matter of honor for him. The fact is that legally my rights to a part of the company were not formalized - formally it was owned by only one person. But in fact, she still had four shareholders. It's just that earlier, very often, relations of this kind between partners were built on trust, without documentary evidence. Unfortunately, Rudnikov did not justify his trust.

And what is the current state of the assets of the R-Style IT holding, which you headed for many years?

- Since 2014, the company, in fact, due to a conflict between shareholders, began to fall apart. Permanent courts, articles in the media, initiated by Rudnikov, led to tension in the team and on the part of customers, which led to the loss of people and orders. Such a situation has developed that, due to constant fuss in the courts, it has become virtually impossible to fulfill orders.

How did it come to this?

– After the crisis of 2008, all business areas of the holding experienced great difficulties, there were few profitable companies left. But Slava continued to demand investments in his areas, which brought only losses and were always “subsidized”. On this basis, conflicts arose, especially between Rudnikov and Bamgbala, which led to a hard break in their relationship. It was not possible to reconcile them and somehow peacefully divide the business, despite my efforts. We didn't agree. It was decided to sell R-Style SoftLab, which Otrashevsky did. Resources actively develop system integration, as one of the main profitable directions, was not there either. Therefore, when investors from the market approached us, we decided to cooperate with them.

The deal was executed according to the scheme generally accepted in world practice - investors acquired a block of shares with the right to buy the remaining one in a couple of years according to a predetermined value valuation formula and with the possibility of attracting auditors from the top four to evaluate the business. But, as I understand it, Slava did not intend to comply with the agreement. He began to insist that investors buy out the remaining share from him at the price they wanted. Is it worth saying that in the civilized world this is regarded as extortion? And no amount of persuasion helped. Investors, to put it mildly, were shocked.

For some reason, he did not take advantage of the opportunity to order a business valuation from independent auditors from the first "four", but immediately filed a lawsuit against investors in the London International arbitration court. But here his hopes were not justified - in 2016, the court denied all his claims, which, I note, were at least 10. In addition, he was ordered to pay more than $ 11 million, and he himself told the media about this. I think he will avoid paying everyone possible ways. At the same time, he, in fact, has already managed to accuse the London Arbitration Court of corruption.

Could you also explain the essence of the dispute related to the aforementioned Aktera LLC? Is it going bankrupt now?

– Quite right, it was another of our joint projects. The company was supposed to build a water park in Zelenograd. When the conflict with Slava began, he tried to increase the share in the company controlled by him, bypassing me and Bamgbala, but he also did not succeed. A very unpleasant moment was that in one of the documents - the protocol general meeting members of the society - there was my fake signature, which was proved by the examination presented in court. Then Rudnikov tried to expel me and Rilvan Bamgbala from society, but again lost in court. Now, a certain Grishin, who is the full namesake of the general director of the Cyril and Methodius media resource, which is owned by Rudnikov, has initiated the bankruptcy procedure for Actors. Is it a coincidence? Hardly. It's a shame that the water park construction project remained on paper.

– You said that Rudnikov was accused of corruption by the London court. Russian courts, in which he regularly loses lawsuits, also calls "commercial stores." What do you think is the reason for such a stubborn unwillingness to admit obvious defeats?

- As I said, he does not hear any reasonable arguments. Probably, the thirst for profit has brought him to the state of a businessman who cannot look at the situation critically. Therefore, in my opinion, now Rudnikov follows the logic of “the best defense is an attack”, and this inevitably pushes him further and further into the abyss in which all partners become former. At the same time, he really became that person who could “be the blacksmith of his own happiness”, but persistently forges only grief and problems for himself.

After all the perfidious attacks, vile statements, including against me, he has already gone so far that he left me only one option - to methodically prove his case and obtain compensation from Vyacheslav Rudnikov for all the losses incurred. I am sure that in the end it will be so.

In the north of Moscow, in one of the residences of the large computer holding R-Style, lives e-Style - a group small firms dealing with multimedia and the Internet. The operational management of the entire holding is carried out by Vasily Vasin. While the person who called Vasin into the business, the founding father of R-Style and, presumably, its main shareholder, Vyacheslav Rudnikov, manages a small e-Style. Strange? Only at first glance.

Rudnikov went into business in the late 80s. In 1991, he headed the Soviet-Singapore joint venture R-Style, it was importing computer technology. There were, however, other things as well. As a reminder of the entrepreneurial experiences of 1991–1995, Rudnikov and his partners still own the Bryansksantehnika plant.

In 1991, Rudnikov invited Vasin, his cousin, a graduate student at the Kolomna All-Russian Research Institute of Diesel Locomotives and Track Machines, to join the company. He hesitated, then took two vacations in a row and came to Moscow to try. “Vasily - he is like that, he thinks everything through,” Rudnikov later recalled.

Meanwhile, time was not conducive to long reflections. The head of R-Style selected associates for himself and shared shares with them - and, as Rudnikov now says, not without humor, "who came earlier, he received more." In the summer of 1992, the company's turnover reached $1 million per month. By the mid-90s, R-Style became one of the largest sellers of computer equipment, had its own assembly shop in Singapore, and began producing software. By that time, the partners managed to distribute responsibilities. Rudnikov became president of the entire group. Vasin in 1994 headed the distribution company RSI, which was part of the holding. But this situation turned out to be ephemeral.

Rudnikov was a master of bright but controversial decisions. For example, by bringing to market software system for banks, the “R-Stylovites”, on the instructions of their president, set a price for it 7-10 times higher than that of competitors. Psychological calculation - it's expensive, so there is something to pay for - justified.

The further expansion of the group's multimedia business allowed Rudnikov's imagination to unfold to the fullest extent. In the mid-90s, R-Style began creating gaming and educational computer programs. The idea was this: to explain to people why they need to buy a computer from R-Style - there are, they say, ready-made programs. “And then Rudnikov, in my opinion, got a taste,” says Vladimir Dolgov, former boss Department of multimedia R-Style, and now the CEO of the company "Internet Solutions", the operator of the online store "Ozone". - I realized that multimedia can become a separate business. He has a knack for foreseeing when there are still few who realize that something can be made into money.”

From the outside, it looked suspicious: the head of a large group of companies suddenly became interested in toys. Other owners of R-Style were skeptical about this venture of the president. Dolgov recalls how Rudnikov enthusiastically demonstrated to other shareholders a new encyclopedia on CD. She truly admired her. But the partners perceived the beauty of technology without enthusiasm.

In the meantime, operational issues were increasingly resolved by Vasin - including those that were not formally within the scope of his competence. And in 1999, the new alignment of forces was legally fixed: Vasin became the president of the holding, and Rudnikov headed the board of founders - "something like a corporate parliament." And in 2001, he also became the president of the e-Style sister group of companies, which included the multimedia and Internet projects he supervised.

Vasily Vasin declined to comment for this article - unlike Rudnikov. “I’m more of a creative and visionary,” Rudnikov says about himself in an interview with Forbes. “To learn new things, to see the future... I deliberately went into the shadows in order to realize my ideas.”

But what came of it? Three years later, the transfer of the founding father to e-Style looks like a voluntary exile. According to the Expert RA rating agency, the volume of R-Style's business in 2003 amounted to almost $300 million. It is difficult to compare e-Style's turnover with R-Style's - according to some market participants, they are at least an order of magnitude lower. Highest Income, according to Rudnikov, he is brought in by the production and sale of "content", as well as offshore programming.

As in the mid-90s, Rudnikov has no shortage of bold, risky ideas. e-Style, for example, places paid texts of books on the Internet and wages war on free libraries that undermine this business. “Someone has to be first,” Rudnikov explains. - We create legal precedents. The Internet is becoming part of the legal field.”

Another extraordinary undertaking is the release of a free accounting program. Having mastered the freely distributed single-user version, clients, according to the head of e-Style, will switch to a paid multi-user version. The project is called "VS: Accounting". "VS" is the "highest grade", as opposed to the "first grade" "1C: Accounting", a product of the company "1C", which today controls more than 60% Russian market mass financial software.

VS:Accounting entered the market last summer. Now, according to the head of e-Style, the product has about 30,000 registered users. About 5000 are regularly interested in updates. Not so much for such a powerful industry.

Rudnikov retains significant influence over the entire R-Style holding. But most of the time he still spends with his encyclopedias, libraries and games. She also travels and takes a lot of pictures. “I’m starting to devote more and more time to the non-working side of my life. I hope this process will continue,” he said three years ago in an interview with a specialized publication IT-Daily.

But what about business? “If there is a new fashion wave on the market like multimedia and dot-coms,” says former manager holding R-Style, - Rudnikov will definitely do this. But when will this wave come?
